- Provide transaction management support and commercial risk management in relation to Fund Finance transactions across APAC (ex. Japan)
- Structuring, negotiating, review and execution of legal documentation including facility agreements, security documents, fee letters, legal opinions and other ancillary finance documents
- Structuring and drafting of term sheets and mandate/engagement documentation in collaboration with Fund Finance transaction team lead
- Negotiation and ‘ownership’ of loan documentation process including review and driving/supporting negotiation from a commercial perspective and working with external legal counsel
- Co-ordination, support and leadership (as needed) of deal team, driving timely resolution of negotiation, presentation and execution of transactions
- Appointment and engagement of external counsel – including negotiation of scope of work.
- Project management discipline of external law firms and mitigation of law firm fees
- Loan execution best practice on standardized basis, reflecting local and global precedents
- Support client engagement/interaction including leading/contributing to transaction correspondence with external parties
- Monitor, identify and advise on commercial/documentation risks in conjunction with Legal and/or external counsel; summarise risk terms, risks and mitigants as part of the Team’s credit submission
- Monitor regulatory changes in APAC, with particular focus on Fund Finance, and work with the Legal and Compliance teams on the impact of such changes in APAC (if any)
- 3+ years’ post-qualification experience, with at least 2 years of loan transactions experience within structured finance
- Fund Finance experience preferred
- Undergraduate Law Degree from a leading university is essential
- Australian / Singapore / UK qualified mid-senior lawyer preferred (can consider other jurisdictions)
- Proficiency in the full suite of core Microsoft products, with strong financial modelling skills
- Possess a strong legal, financial and commercial acumen
